Our Important Terms and Conditions

For the supply of calibration and torque services by Sheffield Calibration Services Ltd a company incorporated in England and Wales under the registration number 09601273.

1. Contract

These terms and conditions shall apply to all contracts for the supply of dimensional and torque calibration services and shall override any customer terms and conditions upon supply of the purchase order after acceptance of the quote previously received. These terms and conditions can be seen on the Sheffield Calibration Services Ltd website and it will be deemed as an offer made by the customer upon any order being received without directly discussing these terms and conditions in writing with the customer. Direction to our website is made upon receivership of the official quote by the customer.

2. Payment

The payment by the customer in respect of the services shall be the amount stated in the relevant quotation, proposal, pro forma or order confirmation issued by Sheffield Calibration Services Ltd. Prices quoted are solely for the performance of the services and are exclusive of VAT, insurance, repairs, replacements, custom and excise charges and carriage charges (unless quoted). The customer shall pay the consideration stated in any invoice for services provided pursuant to these terms and conditions in full and without deduction within 30 calendar days of the issue date stated on that invoice unless otherwise agreed. Sheffield Calibration Services Ltd could seek immediate payment when dealing with a new customer or a customer with historically known financial irregularities and will exercise their right to terminate any contract previously agreed upon failure to pay the considered amount.

3. Completion, Services and Warranty

Sheffield Calibration Services warrants that it will complete the services in a satisfactory manner in line with industry standards. The customer expressly acknowledges and agrees that Sheffield Calibration Services Ltd gives no achievable warranty for the calibration services/results provided. Sheffield Calibration Services Ltd will endeavour to complete any service provided and report to the customer by any date agreed in writing or within a reasonable time frame relating to the standard lead time stated upon acceptance of the order. Sheffield Calibration Services Ltd will at the customer’s request, deliver customers property back to the customer after performing services related to that property and use any method of delivery that it reasonably decides or agrees with the customer. Sheffield Calibration Services will not have any liability in respect of any item being lost by another party.

4. Liability and Loss

This condition sets out the entire financial liability of Sheffield Calibration Services Ltd to the customer in respect of any breach of contract , any misrepresentation, statement or tortuous act or omission in connection with the contract including negligence. Other than as expressly set out herein and as specifically warranted in writing to the customer by a director at Sheffield Calibration Services Ltd, all warranties, conditions and other items implied by common law are to the fullest extent permitted by law, excluded from contract. Subject to this condition Sheffield Calibration Services Ltd shall not be liable, whether in tort, misrepresentation of contract or otherwise for the loss of profits, business, anticipated earnings or savings, goods, use of goods, data or information or any indirect consequences. Sheffield Calibration Services Ltd total liability in contract due to negligence, misrepresentation, tort, breach of statutory duty or otherwise arising in connection with the performance of this contract shall in all circumstances be limited to 10 times the price paid for the specific item concerned. This term and condition shall survive termination of the contract.

5. Customers Property

If a customer provides Sheffield Calibration Services Ltd with detailed instructions in writing as to the treatment of and handling of particular items of its property, Sheffield Calibration Services Ltd will use its reasonable endeavours to comply with such instructions. Where possible the customer shall specify to Sheffield Calibration Services Ltd in writing the type of tolerances, specifications for processing any calibration prior to Sheffield Calibration Services Ltd performing the calibration. Under no circumstances will Sheffield Calibration Services Ltd bear any responsibility for the failure of any calibration to the required tolerances or specification agreed.

6. Cancellation

The customer may only cancel (in whole or in part) an order placed with Sheffield Calibration Services Ltd, and which Sheffield Calibration Services Ltd has accepted, with the written consent of Sheffield Calibration Services Ltd. If a contract has been formed and the customer cancels any order (in whole or in part) being the subject of that contract without the consent of Sheffield Calibration Services Ltd, the customer shall be liable for the full amount of the consideration agreed under that contract plus all costs incurred by Sheffield Calibration Services under the contract prior to the cancellation.

7. Governing Law

The contract shall be governed by and constructed under the laws of England and Wales.


T1. Definitions

From this point forward, Sheffield Calibration Services Ltd shall hereby be referred to as "Sheffield Calibration". The website user will be referred to as the "the user", "you, or "your".

T2. Acceptance of terms

Your access to and use of the Sheffield Calibration web site (www.sheffieldcalibration.com) ("the Website") is subject exclusively to these Terms and Conditions. You will not use the Website for any purpose that is unlawful or prohibited by these Terms and Conditions. The Website includes links to third party websites that are controlled and maintained by others. Any link to other websites is not an endorsement of such websites and you acknowledge and agree that we are not responsible for the content or availability of any such sites.

a) All copyright, trademarks and all other intellectual property rights in the Website and its content (including without limitation the Website design, text, graphics and all software and source codes connected with the Website) are owned by or licensed to Sheffield Calibration or otherwise used by Sheffield Calibration as permitted by law. b) In accessing the Website you agree that you will access the content solely for your personal use and that you will not re-use or repackage any content for commercial purposes. None of the content may be copied, reproduced, transmitted, stored, sold or distributed without the prior written consent of the copyright holder. This excludes the downloading, copying and/or printing of pages of the Website for personal, non-commercial use only.

T7. Disclaimers and limitation of liability

a) The Website is provided on an "AS IS" and "AS AVAILABLE" basis without any representation or endorsement made and without warranty of any kind whether express or implied, including but not limited to the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy. b) To the extent permitted by law, Sheffield Calibration will not be liable for any indirect or consequential loss or damage whatever (including without limitation loss of business, opportunity, data, profits) arising out of or in connection with the use of the Website. c) Sheffield Calibration makes no warranty that the functionality of the Website will be uninterrupted or error free, that defects will be corrected or that the Website or the server that makes it available are free of viruses or anything else which may be harmful or destructive. d) Nothing in these Terms and Conditions shall be construed so as to exclude or limit the liability of Sheffield Calibration for death or personal injury as a result of the negligence of Sheffield Calibration or that of its employees or agents.

You agree to indemnify and hold Sheffield Calibration and its employees and agents harmless from and against all liabilities, legal fees, damages, losses, costs and other expenses in relation to any claims or actions brought against Sheffield Calibration arising out of any breach by you of these Terms and Conditions or other liabilities arising out of your use of this Website.

T9. Severance

If any of these Terms and Conditions should be determined to be invalid, illegal or unenforceable for any reason by any court of competent jurisdiction then such Term or Condition shall be severed and the remaining Terms and Conditions shall survive and remain in full force and effect and continue to be binding and enforceable. 10. Governing law. These Terms and Conditions shall be governed by and construed in accordance with the law of England and you hereby submit to the exclusive jurisdiction of the English courts.
